Welcome to M.A.D.E Express, a product of M.A.D.E International LLC! These terms and conditions outline the rules and regulations for the use of our multi-vendor e-commerce site, which allows vendors to sell their products online. By using our platform, you accept these terms and conditions in full. If you disagree with these terms and conditions or any part of them, you should not use our platform.

1. General Information

1.1. M.A.D.E Express is an online marketplace where vendors can offer their products to customers. We do not sell any products ourselves.

1.2. The use of our platform is free of charge for customers. Vendors pay a commission on sales to M.A.D.E Express.

1.3. M.A.D.E Express reserves the right to modify, suspend, or discontinue the platform at any time without notice. We also reserve the right to modify these terms and conditions at any time, and the most current version will be available on our website.

1.4. These terms and conditions are governed by the laws of the United States of America.

2. Vendors

2.1. Vendors must register on our platform to sell their products. During registration, vendors must provide accurate and complete information.

2.2. Vendors must comply with all applicable laws and regulations, including but not limited to tax laws, product safety regulations, and intellectual property laws.

2.3. Vendors must ensure that all products they offer on our platform are of high quality and comply with all applicable laws and regulations.

2.4. Vendors are responsible for shipping and handling of their products, including any returns or refunds.

2.5. Vendors must not engage in any illegal or fraudulent activities, including but not limited to money laundering, tax evasion, or copyright infringement.

3. Customers

3.1. Customers may browse and purchase products offered by vendors on our platform.

3.2. Customers must provide accurate and complete information during the checkout process, including shipping and billing information.

3.3. Customers are responsible for ensuring that they are legally allowed to purchase and receive the products they order.

3.4. Customers must not engage in any illegal or fraudulent activities, including but not limited to using stolen credit cards or ordering products for resale without permission from the vendor.

4. Payments

4.1. M.A.D.E Express uses a third-party payment processor to handle all transactions on our platform.

4.2. Vendors will receive payment for their sales, minus M.A.D.E Express's commission, directly from the payment processor.

4.3. Customers must pay for their orders at the time of purchase using a valid payment method.

4.4. M.A.D.E Express is not responsible for any issues or errors related to payment processing, including but not limited to chargebacks, refunds, or unauthorized transactions.

5. Intellectual Property

5.1. All content on our platform, including but not limited to text, graphics, logos, and images, is the property of M.A.D.E Express or its licensors and is protected by copyright and other intellectual property laws.

5.2. Vendors must ensure that they have the necessary rights to use any intellectual property in their products, including but not limited to trademarks, patents, and copyrights.

6. Indemnification

6.1. You agree to indemnify and hold M.A.D.E Express, its officers, directors, employees, agents, and affiliates harmless from any claim, demand, or damage, including reasonable attorneys' fees, arising out of or related to your use of our platform, your products, or your breach of these terms and conditions.

7. Limitation of Liability

7.1. To the fullest extent permitted by law, M.A.D.E Express, its officers, directors, employees, agents, and affiliates shall not be liable to you or any third party for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of our platform, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.  

7.2. M.A.D.E Express, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our platform, your products, or your breach of these terms and conditions.

7.3. M.A.D.E Express's total liability to you for any and all claims arising out of or in connection with these terms and conditions shall not exceed the total commission fees paid to M.A.D.E Express by you during the twelve (12) months preceding the claim.

8. Termination

8.1. M.A.D.E Express may terminate your access to our platform at any time without notice, for any reason or no reason at all.

8.2. Upon termination, all rights and licenses granted to you under these terms and conditions will immediately terminate, and you must immediately cease all use of our platform.

9. Miscellaneous

9.1. These terms and conditions constitute the entire agreement between you and M.A.D.E Express and supersede all prior agreements or understandings, whether written or oral, relating to your use of our platform.

9.2. If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

9.3. No waiver by M.A.D.E Express of any term or condition set forth in these terms and conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

9.4. These terms and conditions are binding upon and shall inure to the benefit of both parties and their respective successors and assigns.

10. Governing Law and Dispute Resolution

10.1. These terms and conditions shall be governed by and construed in accordance with the laws of the state or country where M.A.D.E Express is registered.

10.2. Any dispute, claim or controversy arising out of or relating to these terms and conditions or the breach, termination, enforcement, interpretation or validity thereof, or the use of our platform (collectively, "Disputes") shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association.

10.3. The arbitration shall be conducted in the English language in the state or country where M.A.D.E Express is registered, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

11. Assignment

11.1. You may not assign these terms and conditions or any of your rights or obligations hereunder without the prior written consent of M.A.D.E Express.

11.2. M.A.D.E Express may assign these terms and conditions or any of its rights or obligations hereunder without notice or consent.

12. Changes to these Terms and Conditions

12.1. M.A.D.E Express reserves the right to modify these terms and conditions at any time, without prior notice.

12.2. Your continued use of our platform following any such modification constitutes your agreement to be bound by the modified terms and conditions.

13. Notices

13.1. All notices, requests, and other communications under these terms and conditions must be in writing and sent to M.A.D.E Express by email or registered mail.

13.2. Notices shall be effective upon receipt by M.A.D.E Express.

14. Headings and Interpretation

14.1. The headings used in these terms and conditions are for convenience only and shall not affect the interpretation of these terms and conditions.

14.2. Unless otherwise specified, words importing the singular include the plural and vice versa.

15. Survival

15.1. The provisions of sections 3, 4, 5, 6, 7, 8, 9, 10, and 15 shall survive termination of these terms and conditions.
